Terms of Service

These Terms of Service ("Terms") govern access to and use of the Onaro website, the Meridian platform, the Agent Spend Assessment, and related services (together, the "Services"), provided by BrianOnAI LLC, doing business as Onaro ("Onaro," "we," "us"). By creating an account, signing an order form, or using the Services, you agree to these Terms on behalf of yourself and the organization you represent ("Customer," "you"). If you do not have authority to bind that organization, do not use the Services.
1. Business use
The Services are provided for business purposes. You must be at least 18 years old and authorized to act for your organization. If a signed order form or master agreement conflicts with these Terms, that signed agreement controls.
2. Accounts
You are responsible for your account credentials, for the accuracy of account information, and for all activity under your account. Notify us promptly at support@onaro.io of any unauthorized access.
3. Subscriptions and evaluation access
Paid subscriptions are billed in advance on a monthly or annual basis under a signed order form. Evaluation (assessment) access may be granted for a limited window without creating a paid subscription. Fees are non-refundable except as required by law. You may cancel at any time; access continues until the end of the paid period. We may change pricing with 30 days' advance notice, effective at your next renewal.
4. Customer Data
"Customer Data" means data you or your users submit to the Services or authorize the Services to access, including usage and spend data and data from connected systems. You retain all rights to Customer Data. You grant Onaro a limited right to host, process, and transmit Customer Data solely to provide, secure, and support the Services. We do not sell Customer Data and do not use it to train generally available AI models. Our handling of personal information is described in our Privacy Policy.
5. Connected third-party systems
The Services can connect to third-party systems you choose, such as QuickBooks Online and Intuit Enterprise Suite ("Connected Systems").
- Authorization. When you connect a Connected System, you authorize Onaro to access it on your behalf within the permissions you grant, and you confirm you are authorized to grant that access for the company file or entity you select.
- What Meridian does. For QuickBooks, Meridian reads company information, accounts, and classes, and creates journal entries that you initiate. Meridian does not edit or delete existing transactions.
- Your review. Journal entries are created from allocations and mappings you configure and approve. You are responsible for reviewing mappings, allocations, and posted entries, and for your books, close process, and financial reporting.
- Third-party terms. Your use of a Connected System is governed by that provider's terms. Onaro is not responsible for the availability, changes, or acts of Connected Systems. Intuit and QuickBooks are trademarks of Intuit Inc.; Intuit is not a party to these Terms.
- Disconnecting. You may disconnect a Connected System at any time from Meridian or from the Connected System. On disconnect, Onaro revokes and deletes the stored access credentials.
6. Acceptable use
You will not misuse the Services, interfere with their operation, attempt to access data or systems you are not authorized to access, reverse engineer the Services except where law permits, or use the Services in violation of law.
7. Intellectual property
The Services, including software, content, frameworks, and branding, are owned by Onaro or its licensors. Except for the rights expressly granted in these Terms, no rights are transferred. Feedback you provide may be used by Onaro without obligation.
8. Confidentiality
Each party will protect the other's non-public information disclosed in connection with the Services with reasonable care and use it only to perform under these Terms.
9. Not professional advice
Meridian provides tools, calculations, and information. Content and outputs are not legal, tax, accounting, audit, or financial advice. Consult qualified professionals for your specific situation. See also our Legal Disclaimer.
10. Disclaimer of warranties
Except as expressly stated in a signed agreement, the Services are provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose, and non-infringement.
11. Limitation of liability
To the maximum extent permitted by law, Onaro will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for lost profits or data. Onaro's total liability for any claim will not exceed the amount you paid Onaro in the twelve (12) months before the claim.
12. Term and termination
You may terminate your account at any time through account settings or by contacting us. We may suspend or terminate access for material breach of these Terms. On termination, your right to use the Services ends, Connected System credentials are revoked and deleted, and Customer Data is handled as described in our Privacy Policy.
13. Changes
We may update these Terms. We will notify you of material changes by email or in the Services before they take effect. Continued use after the effective date constitutes acceptance.
14. Governing law
These Terms are governed by the laws of the State of Connecticut, without regard to conflict-of-law rules, and disputes will be brought in the state or federal courts located in Fairfield County, Connecticut.
